Articles of association (BV)

The articles of association (statuten) are the governing rules of a BV, drawn up by a notary on incorporation. They describe the company's purpose, the distribution of shares, the powers of the board and the rules for shareholder meetings. Changes to the articles can only be made through a notary and a shareholder resolution. If you have multiple shareholders, have the articles carefully reviewed for liability, decision-making and exit arrangements.
